Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") form a binding agreement between you and Zahed designs ("Zahed designs", "we", "us"), trading as Nefru, in relation to your use of the Nefru studio management platform and related services (the "Service").

2. Acceptance

By creating an account or continuing to use the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, you must not use the Service.

3. The Service

Nefru provides software for interior design studios to manage clients, projects, tasks, quotations, invoices, files and finances. We may change, add or remove features over time to improve the Service.

4. Your account

You must provide accurate information, keep it up to date and maintain the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

  • Use the Service for any unlawful, fraudulent or deceptive purpose;
  • Send spam or unsolicited communications through the Service;
  • Infringe the intellectual property or privacy rights of others;
  • Probe, scan, scrape, reverse engineer, introduce malware, or otherwise interfere with the security or integrity of the Service;
  • Resell, sublicense or redistribute the Service without our written consent;
  • Circumvent any technical limits, quotas or access controls.

6. Intellectual property

The Service, including all software, design, branding and documentation, is owned by Zahed designs and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You retain ownership of the content you upload; you grant us a limited licence to host, store and process that content solely to operate and improve the Service for you.

7. Payments and subscriptions

Paid plans are billed on a recurring basis according to the plan you choose. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations and refund mechanics are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period unless required otherwise by applicable law.

8. Refunds

Refunds are governed by our Refund Policy. Refund requests are processed by Paddle.

9. Service availability

We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, error-free or always available. We may perform maintenance, updates or changes that temporarily affect availability.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, create a security or fraud risk, or repeatedly or seriously violate our policies. On termination, your right to use the Service ends. Where reasonably practicable, we will give you a window to export your data before deletion.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is capped at the fees you paid to us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, data or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded.

13. Indemnity

You agree to indemnify and hold harmless Zahed designs from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

14. Governing law

These Terms are governed by the laws applicable to the place of business of Zahed designs, without regard to its conflict of law principles. The competent courts of that jurisdiction will have exclusive jurisdiction, subject to mandatory consumer protections.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email and will take effect on the date stated.
